Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Audio Splitter website and service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. About the Service
Audio Splitter is a browser-based tool that allows you to upload a video file from your device and separate it into two independent files: a silent video file (the original video without its audio track) and a standalone audio file containing the extracted soundtrack. All processing takes place locally in your web browser using client-side technology. Your files are not uploaded to our servers unless you explicitly choose to use a feature that requires it.
2. Acceptance of Terms
By using the Service, you confirm that you are at least 18 years old, or that you have the consent of a parent or guardian, and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Content
"Your Content" means any video, audio, or other files you upload or process using the Service. You retain all ownership rights in and to Your Content. We do not claim any ownership over Your Content.
Because the Service processes files locally in your browser, we do not have access to, store, copy, or transmit Your Content unless a specific feature clearly requires server interaction and you choose to use it. You are solely responsible for:
- obtaining all necessary rights, licenses, and permissions to use and process Your Content;
- ensuring that processing Your Content does not violate any law, contract, or third-party right;
- keeping secure backups of Your Content, as browser storage and temporary downloads may be lost.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Service. You agree not to:
- use the Service to process content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, discriminatory, or otherwise objectionable;
- infringe any copyright, trademark, trade secret, patent, or other intellectual property right of any party;
- upload or distribute malware, viruses, or any other harmful code;
- attempt to reverse engineer, decompile, or otherwise derive the source code of the Service except where permitted by law;
- interfere with or disrupt the integrity or performance of the Service or its underlying technology;
- use automated means, including bots, scripts, or scrapers, to access or use the Service in a way that exceeds reasonable manual use.
5. Intellectual Property
The Service, including its code, design, text, graphics, logos, and other materials, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.
Open-source components used by the Service are subject to their respective licenses. You agree to comply with those licenses when using such components independently.
6. Privacy
Your privacy is important to us. For information about how we handle data, please review our Privacy Policy. In general, the Service processes files locally on your device, and we do not collect the content of those files unless you use a feature that explicitly requires it. We may collect limited technical information, such as browser type, device type, and error logs, to improve the Service.
7. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, timely, secure, error-free, or compatible with every video or audio format. Output quality, file size, and processing time depend on your device, browser, and the source file. You are responsible for verifying that any output file meets your needs before using it.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us to use the Service, or, if you did not pay anything, one hundred United States dollars (USD 100.00).
9. Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your Content;
- your use of or access to the Service;
- your violation of these Terms;
- your violation of any third-party right, including intellectual property or privacy rights.
10. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of [Insert Jurisdiction].
If you are a consumer in the European Union, you may benefit from mandatory provisions of the law of the country in which you are resident, and any consumer protection laws that cannot be derogated from by contract may apply.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent as closely as possible.
14. Entire Agreement
These Terms, together with any Privacy Policy or other policies referenced herein, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements, understandings, or representations, whether oral or written.
